Welcome to Career Journey ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our career management platform, including our website, services, and applications (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

• "Account" means the unique account you create to access the Service.

You retain all rights, title, and interest in and to your Content. By uploading Content to the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, and process your Content solely to provide and improve the Service.

6.2 Data Controller Relationship

You are the Controller of your Personal Data. We act as a Processor when handling your Personal Data to provide the Service. Our data processing activities are governed by our Data Processing Agreement and Privacy Policy.

6.3 Responsibility for Content

You are solely responsible for your Content and the consequences of posting or publishing it. You represent and warrant that:

• You own or have the necessary rights to your Content
• Your Content does not violate any third-party rights
• Your Content complies with these Terms and applicable laws

7. AI-Powered Features

Our Service uses artificial intelligence (AI) to analyze job descriptions and generate tailored resume content based on your career data. You acknowledge and agree that:

• AI-generated content is provided as suggestions and should be reviewed before use
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are responsible for reviewing and verifying all AI-generated content before using it
• We process your Content through third-party AI providers (OpenAI) under strict data protection measures
• Your data is not used to train third-party AI models without your explicit consent

8. Third-Party Services

The Service may integrate with or contain links to third-party services, including but not limited to:

• Authentication providers (NextAuth)
• Cloud storage providers (MongoDB Atlas)
• AI services (OpenAI)
• Email services (Resend)

We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and privacy policies.

9. Fees and Payment

Certain features of the Service may be offered for a fee. If you choose to use paid features:

• Fees are quoted in Euros (EUR) and are exclusive of applicable taxes unless stated otherwise
• You agree to pay all applicable fees as described at the time of purchase
• All fees are non-refundable unless otherwise stated or required by law
• We reserve the right to modify our pricing with 30 days' notice to existing users
• You are responsible for providing accurate billing information

In accordance with EU consumer protection laws, you have the right to withdraw from a purchase within 14 days of the transaction date, unless you have expressly agreed to immediate performance and acknowledged the loss of withdrawal rights.

10. Intellectual Property Rights

The Service, including its original content, features, and functionality, is owned by Career Journey and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

We are committed to protecting your privacy and complying with the GDPR and other applicable data protection laws. Our Privacy Policy explains how we collect, use, and protect your Personal Data.

To the maximum extent permitted by applicable law, in no event shall Career Journey, its directors, employees, partners, agents, suppliers, or affiliates be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on the Service

Our total liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

This limitation of liability does not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence or fraud.

14. Indemnification

You agree to indemnify, defend, and hold harmless Career Journey and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content

15. Termination

15.1 Termination by You

You may terminate your Account at any time by accessing your account settings or contacting us. Upon termination, your right to use the Service will immediately cease.

15.2 Termination by Us

We may suspend or terminate your Account and access to the Service immediately, without prior notice or liability, if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Service or material changes to it
• Your Account has been inactive for an extended period

15.3 Effect of Termination

Upon termination, we will delete or anonymize your Personal Data in accordance with our data retention policy and applicable law, unless we are required to retain it for legal, regulatory, or legitimate business purposes. You may request an export of your data before terminating your Account.

16. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where our EU representative is established, without regard to conflict of law principles.

16.2 Jurisdiction

Subject to the arbitration provisions below, any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in the jurisdiction of our EU representative.

17. Changes to These Terms

18. Miscellaneous

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Career Journey regarding the Service.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

18.4 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemic, or internet service failures.
